OVERVIEW
All physical assets owned by SoftPlay Era are to be liquidated, donated, or placed in designated short-term storage within 45 days. This document covers the asset inventory framework, the four liquidation options, recommended sequencing, and pricing guidance.
No asset should remain unaccounted for at Day 45.

LIQUIDATION OPTIONS
Option A: Full Package Sale to Raleigh/Triangle Event Competitor (RECOMMENDED FIRST)
What it is: Sell the entire inventory as a single lot to one buyer. Target: a competing children’s event company, a party rental business, or an event production company in the Raleigh-Durham-Chapel Hill metro.
Price target: $15,000 to $25,000 for the full package depending on condition and completeness.
Why lead with this: - Fastest close. One transaction, one payout. - No logistics burden of piecemeal pickups. - Buyer assumes all transport. - Cleans out storage in one move.
How to find buyers: - Search “kids party rental Raleigh,” “children’s event company Durham,” “inflatable rental Wake County.” Pull the top 10 operating companies. - Direct outreach: email or call the owner. Do not post publicly first. These are competitor relationships; handle with discretion. - Local Facebook groups: Raleigh Event Professionals, NC Event Industry Network. - Event industry Facebook Marketplace groups.
Offer structure: - Lead with a package price. Do not itemize for the buyer until negotiating. - Include a 7-day window for inspection and decision. - Require a non-refundable deposit of 25% to hold. - Full payment before pickup. No payment plans.
Decision gate: If no full-package buyer commits within 14 days of active outreach, move to Option B.
Option B: Piecemeal Liquidation via Facebook Marketplace and Craigslist
What it is: List individual items and category lots on Facebook Marketplace (Triangle area) and Craigslist (Raleigh). This takes more time but often recovers more per item than a bulk package.
Price targets by category: - Bounce house (commercial grade, good condition): $1,200 to $2,500 - Foam soft play sets (complete): $800 to $2,000 - Pipe and drape sets: $200 to $600 - Backdrop frames and lighting: $150 to $400 - Furniture (tables, chairs): $25 to $75 per piece - Transport and storage bins: $10 to $50 per item - Consumable kits (sealed): priced at 40 to 60 cents on the dollar retail
Logistics rules: - Cash only for transactions under $500. Zelle or Venmo for larger. - Local pickup only from a single staging address. Do not deliver. - List Monday through Wednesday for weekend pickup. Items listed late week often get no-shows. - Hold items for 48 hours maximum with a paid deposit. No holds without payment.
Platforms beyond Facebook/Craigslist: - OfferUp (strong in Triangle market) - Party rental industry forums: IEP (Inflatable Event Pros), ARA (American Rental Association) resale boards - Nextdoor (Raleigh neighborhood groups) for smaller items
Timeline for Option B: 30 to 45 days from first listing.
Option C: Donate to Nonprofit for Tax Write-Off
What it is: Donate all or a portion of physical assets to a qualifying 501(c)(3) organization. Claim a charitable deduction on Taj’s personal or entity return.
Best-fit recipient types: - Children’s nonprofits in Wake or Durham County (Boys and Girls Club, local childcare programs, community centers with youth programming) - Faith-based family resource centers - Title I elementary school enrichment programs
Tax mechanics (consult CPA before filing): - Donation value is the fair market value of the assets at the time of donation, not original purchase price. - For donations over $500 in non-cash property, IRS Form 8283 is required. - For donations over $5,000 in non-cash property, a qualified appraisal is required (IRS Section 170(f)(11)). - The deduction reduces taxable income for the year the donation is made.
Use this option for: - Items that cannot sell within 30 days (condition issues, low demand). - Items where the tax deduction value exceeds likely cash proceeds. - If Taj’s 2026 taxable income is high, accelerating deductions into 2026 may be worth prioritizing.
Do not: Donate items that can sell for cash. Cash is the priority. Donation is the cleanup strategy for what remains.
Option D: Store 90 Days for VAULT Rooftop or Kids Programming Pilot
What it is: Hold selected assets in storage on the theory that VAULT may incorporate a children’s programming element (rooftop activations, family day events, or co-branded kids wellness).
Assessment: This option is unlikely to be worth the cost. Reasons: - Monthly storage cost ($150 to $400/month for a 10x15 to 10x20 unit in Raleigh/Charlotte) erodes proceeds over 90 days. - VAULT is a luxury adult wellness club. Kids programming, if it exists, is a Y4+ consideration. - Soft play equipment designed for Raleigh birthday parties is not the aesthetic or format for VAULT. - Taj’s capital should not subsidize 90 days of storage on speculative future use.
Verdict: Do not execute Option D for the core inventory. If a single specific item has clear VAULT use (a foam tile flooring system, for example), flag it separately. Everything else goes through A, B, or C.

FINANCIAL HANDLING
- All proceeds go to Taj’s designated operating or personal account immediately upon receipt.
- Do not commingle with any VAULT seed capital account.
- Track every transaction with date, buyer, item, amount, and payment method. This is your 1099 and tax documentation.
- If total proceeds in the calendar year push Taj’s 1099/self-employment income materially, flag it to CPA before year-end.
