SOFTPLAY ERA — 60-DAY WIND-DOWN PLAN

EXECUTIVE SUMMARY

SoftPlay Era (Raleigh, NC luxury children’s event company) is being wound down cleanly and immediately to free capital, attention, and brand energy for VAULT — the Charlotte 5-star luxury vertical wellness club. The wind-down prioritizes protecting Taj’s reputation with every existing client, recovering maximum cash from physical assets, and preserving all founding IP and brand documents for archive.

No new bookings are accepted as of today.


WIND-DOWN TIMELINE

Week 1 (Days 1-7): Pause and Notify

  • Pause all new booking inquiries immediately. Redirect website and inquiry forms to a “not accepting new bookings” message.
  • Pull all active contract files. Identify every event booked within the next 90 days with contract status, deposit held, and balance due.
  • Contact Tia (Marketing Director) to pause all active marketing campaigns, social scheduling, and paid advertising. No new content goes out.
  • Notify Brianna Stewart (contractor) that her role on SoftPlay Era is ended effective immediately. Confirm final hours owed and issue final payment within 7 business days.
  • Begin vendor contract audit: identify all subscription, retainer, and service agreements with their renewal dates and cancellation terms.

Week 2 (Days 8-14): Honor Existing Contracts and Issue Client Communications

  • Send formal communication to all booked clients (see templates below).
  • Confirm whether each booked event will be fulfilled or transitioned.
  • For events Taj cannot fulfill: issue full refunds within 14 days of notification. No partial refunds for near-term cancellations initiated by SoftPlay Era.
  • For events Taj can and will fulfill: deliver to the full standard contracted. Collect any outstanding balances before the event date.
  • Begin canceling vendor contracts. Priority: cancel anything with auto-renewal within 60 days.

Week 3-4 (Days 15-28): Asset Liquidation Launch

  • Photograph and inventory all physical assets (see 01_ASSET_LIQUIDATION.md).
  • List all equipment per the liquidation plan. First offer goes to the Raleigh/Triangle market as a packaged sale.
  • If no full-package buyer in 14 days, move to piecemeal listing.
  • Cancel any storage unit or warehouse rental that extends past Day 60.

Week 5-6 (Days 29-42): Fulfill Remaining Events and Clear AR

  • Execute all remaining contracted events.
  • Collect all outstanding balances immediately after each event.
  • Issue final vendor payments owed.
  • Close any outstanding vendor disputes or refund claims.

Week 7-8 (Days 43-60): Close Out

  • Confirm all physical assets are sold, donated, or in designated storage per the liquidation decision.
  • Archive all SoftPlay Era brand documents, Wave One founding docs, contracts, client records, and vendor agreements in TAJ_HUB archive folder. Do not delete.
  • Close or redirect any active business accounts (Square, PayPal, booking software, etc.).
  • Close the SoftPlay Era LLC bank account after all transactions clear. Transfer remaining balance to Taj’s personal or VAULT operating account.
  • File final business records with NC Secretary of State if LLC is being formally dissolved. Consult NC-licensed business attorney or CPA before filing dissolution paperwork.
  • Confirm final NC sales tax filing and any final payroll or contractor 1099 obligations with CPA.
  • Social media: archive posts, do not delete accounts. Pin a final “thank you” post. Do not announce VAULT connection publicly yet.

DECISION TREE: EXISTING BOOKED EVENTS

For each booked event between today and Day 90, Taj makes one of two calls:

Option A — Fulfill: Event stays on the calendar. Full team mobilized. Client is not notified of wind-down unless asked directly. After the event, no extension or re-booking offered.

Option B — Release: Client is notified within 48 hours. Full deposit refund issued within 14 days. No partial refund. Taj calls or texts the client personally before the written notice goes out. This protects the relationship.

Principle: Never leave a family holding a deposit without a refund or a delivered event. Reputation travels in Raleigh.


REFUND POLICY (WIND-DOWN PERIOD ONLY)

  • Events canceled by SoftPlay Era: 100% refund, no conditions, within 14 days.
  • Events where the client cancels during this period: apply the existing contract terms.
  • Events fulfilled per contract: no refund owed.
  • Do not issue refunds for past completed events unless a specific complaint is raised.

VENDOR CANCELLATION LIST (TEMPLATE APPROACH)

Pull every active vendor and record: 1. Vendor name 2. Service description 3. Monthly or annual cost 4. Next renewal or billing date 5. Cancellation notice required (days) 6. Cancellation contact (email or phone) 7. Status (cancel now / fulfill through last event / archive)

Priority cancellations (Day 1-7): any SaaS subscription, booking platform, marketing tool, or ad account. These often auto-renew with no grace period.


COMMUNICATION SEQUENCE

1. Tia (Marketing Director) — Day 1, Private Call or Text First, then Written

Subject: SoftPlay Era — Marketing Pause, Effective Today

Tia,

I wanted to reach you directly before anything else moves. We are pausing SoftPlay Era operations effective today and will be winding down the company over the next 60 days.

Effective immediately: - Pause all scheduled social media posts. - Pause any active paid ad campaigns. - Do not publish any new content. - Do not respond to new inquiry DMs or messages with booking information. If someone reaches out, reply: “We are not taking new bookings at this time. Thank you for your interest.”

I will follow up this week on any outstanding deliverables we owe you. Please send me a summary of work completed and any hours or deliverables not yet paid.

2. Brianna Stewart (Contractor) — Day 1-2, Written

Subject: SoftPlay Era Contractor Engagement — Final Notice

Hi Brianna,

I am writing to formally notify you that your contractor role on SoftPlay Era is ended effective today, 2026-07-28.

Please submit your final invoice for any hours or deliverables completed and not yet paid. I will process final payment within 7 business days of receiving your invoice.

All SoftPlay Era materials, files, and documents in your possession or on shared drives remain property of SoftPlay Era / Tajanay Hines. Please confirm you have removed access or transferred ownership of any shared accounts or folders we set up together.

Hi [Client First Name],

I am reaching out personally because I want you to hear this directly from me before anything else.

I have made the decision to close SoftPlay Era, and as a result I am not able to fulfill your event on [DATE].

I know this is not the news you were hoping for, and I am sorry for the disruption to your plans. Your deposit of $[AMOUNT] will be refunded in full within 14 days. You will receive it via [payment method used at booking].

If you need help finding another provider in the Raleigh area, I am happy to point you toward a few options I trust. Just reply to this email and I will send them over.

4. Existing Booked Clients (Option A — Fulfill) — No Immediate Notification Required

These clients receive normal pre-event communication per your standard protocol. After the event, if they inquire about future bookings, you respond:

“We are not accepting new bookings at this time. It was a pleasure serving your family.”


5. Vendors — Day 7-14

Subject: SoftPlay Era — Service Cancellation

Hi [Vendor Name / Team],

I am writing to cancel our [service / subscription / agreement] with SoftPlay Era, effective [DATE based on cancellation terms in your contract].

Please confirm cancellation in writing and let me know if there are any final steps required on our end.

Preserve in permanent archive (do not delete):

  • Wave One founding documents (LLC formation, operating agreement, founding brand kit)
  • All client contracts (signed)
  • All vendor agreements (signed)
  • Photography and video from completed events
  • Brand assets: logos, fonts, color palette files, Canva templates
  • Financial records: all invoices, receipts, bank statements, tax filings
  • Brianna’s template stack and communication systems
  • Any custom SoftPlay Era content (photography, video, editorial)

Archive location: TAJ_HUB/ARCHIVE/SOFTPLAY_ERA/ (local + Drive mirror)

These founding documents are permanent record and potential legal reference. Treat as sensitive files.


FORMAL DISSOLUTION (POST-60 DAYS)

After the wind-down is operationally complete, consult a North Carolina-licensed business attorney or CPA to determine: - Whether to formally dissolve the LLC or maintain it as a dormant entity - Final NC annual report obligations - Final state tax clearance - Any required creditor notification under NC law

Do not file dissolution paperwork without professional guidance. Keeping the LLC dormant for 12 months while VAULT launches is a reasonable option if dissolution involves material cost or complexity.
